All information contained in Fulcrum’s Snap for Legal™ Rapid Deployment Solution, all information contained in the other Snap™ solutions (including Snap HCM CoreTM), all information contained in Fulcrum’s EpochTM, CuroTM, UpfrontTM, SalvoTM and Fulcrum Analytics solutions, and all of the enhancements to each of them (collectively, the “Fulcrum Software”), is and remains the property of Fulcrum Global Technologies, Inc. (“Fulcrum”) and its suppliers, if any. The intellectual and technical concepts contained in the Fulcrum Software and its enhancements are confidential and proprietary to Fulcrum and such suppliers, may be covered by U.S. and Foreign Patents or patents in process, and are protected by trade secret and copyright law. Unauthorized use, duplication, reverse engineering, or any form of redistribution or use of this material, in whole or in part, without prior written permission or a license for use obtained from Fulcrum is strictly forbidden.
Access to and use of the Fulcrum Software is limited to certain employees of Law Firm (“Licensee”), and certain employees of third-parties under contract with Licensee, to the extent each has been specifically authorized to obtain such access under a User Identification provided by Fulcrum or Licensee. All such authorized persons are bound by the confidentiality obligations undertaken by Licensee in a Master Subscription and Services Agreement effective as of February 1, 2019 (“MSSA”). Those obligations extend to and protect, among other things, information that relates to the commercial affairs, business, finances, infrastructure, products, software or software configurations, services, developments, inventions, trade secrets, know-how, technology, business and other processes, strategy, assets, operations, affairs, personnel, customers, clients, members, partners, or contracts of Fulcrum, and any other similar information relating to Fulcrum or its Affiliates that are used, contained or reflected in, or that touch upon, the Fulcrum Software (collectively, the “Confidential Software Information”). No person may access this system unless they are both specifically authorized to do so and affirmatively agree to be bound by the confidentiality obligations set forth in the MSSA. By checking the box beside the words “I agree” you certify that you are authorized to do so and agree, without reservation, to comply with all of the confidentiality obligations in the MSSA, which are summarized below under the heading “YOUR CONFIDENTIALITY OBLIGATIONS.” If you do not agree to comply with those obligations, DO NOT PROCEED FURTHER.

YOUR CONFIDENTIALITY OBLIGATIONS:

You agree that you will use all Confidential Software Information solely for the internal business purposes of Licensee and to receive and enjoy the benefit of the Fulcrum Software. You agree to take all reasonable precautions to protect such Confidential Information in the same manner as Licensee protects its most sensitive, proprietary and confidential information and not to use or divulge to any third person any such Confidential Information except to employees, Affiliates, insurers, auditors and contractors of Licensee who need access for purposes consistent with this Agreement and who are bound to confidentiality terms with Licensee. You further agree that you will not, directly or indirectly (i) make the Subscription Services available to anyone other than Users or use the Subscription Services for the benefit of any unrelated third party; (ii) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code or underlying structure, ideas or algorithms of the Subscription Services or any software, documentation or data related to or provided with the Subscription Services; (iii) modify, translate or create derivative works based on the Subscription Services or remove any proprietary notices from the Subscription Services; or (iv) use or access the Subscription Services to build or support, and/or assist a third party in building or supporting, products or services competitive with the Subscription Services.
